These Terms & Conditions (“Terms”) govern your access to and use of the website, products, services, quotations, sample orders, and commercial transactions provided by Costita Global Chain Private Limited (“Costita”, “we”, “our”, or “us”). By accessing the website, creating an account, requesting quotations, ordering samples, or purchasing products through Costita, you agree to be bound by these Terms.

Costita is a B2B sourcing and cross-border commerce platform that connects businesses with verified manufacturers and suppliers. For transactions conducted through Costita, Costita acts as the seller of record and enters into contractual agreements with buyers for the supply of products and related services. Costita may source products from manufacturers, suppliers, and production partners to fulfill customer orders.

3. Eligibility

To use Costita's platform and services, users must be at least 18 years of age and have the legal authority to enter into binding contracts on behalf of themselves or their organization. Users are further required to provide accurate and complete information at all times and to use the platform exclusively for lawful business purposes. Costita reserves the right to refuse service, suspend accounts, or terminate access where eligibility requirements are not met.

4. Account Registration

Users may create accounts to access certain platform features. By doing so, users accept full responsibility for maintaining the confidentiality of their account credentials, protecting their login information, and all activities occurring under their account. Costita shall not be liable for any losses resulting from unauthorized account access caused by user negligence or failure to secure their credentials.

Costita strives to present accurate product descriptions, specifications, images, and pricing across its platform. However, product images are provided for illustrative purposes only, and actual products may vary slightly from displayed images. Specifications may also differ based on customization requirements, and product availability is subject to change without prior notice. Costita reserves the right to correct errors, inaccuracies, or omissions at any time without liability.

Samples are provided to assist buyers in evaluating product quality, specifications, and suitability before placing larger commercial orders. All sample purchases are non-refundable. However, if a buyer subsequently places a commercial order, Costita may, at its sole discretion or as specified in the relevant quotation, adjust or discount sample costs against the final invoice.

Quotations issued by Costita are subject to product availability and may carry defined validity periods. They may be revised if market conditions change and do not constitute a binding agreement until formally accepted and confirmed by Costita. Prices stated in quotations may be impacted by fluctuations in raw material costs, freight rates, currency exchange rates, regulatory requirements, and applicable duties and taxes.

8. Pricing and Payment Terms

Prices displayed or quoted may be subject to applicable taxes, duties, freight charges, insurance costs, and other transaction-related expenses unless otherwise stated. Accepted payment structures may include 100% advance payment; 50% advance payment with the remaining balance due before dispatch; Letter of Credit (L/C) on sight for approved transactions; or other payment arrangements approved in writing by Costita. Orders will not proceed to production, procurement, or shipment until all required payments have been received and confirmed.

9. Production and Lead Times

Production timelines vary depending on product category, order quantity, customization requirements, supplier capacity, and material availability. Production schedules communicated by Costita are estimates only and shall not be interpreted as guarantees of delivery by any specific date.

10. Shipping and Delivery

Shipping timelines displayed on the website, quotations, invoices, or other communications are estimates only. Delivery performance may be affected by factors beyond Costita's control, including but not limited to customs procedures, port congestion, carrier delays, government actions, adverse weather conditions, and international trade disruptions. Costita shall not be liable for delays resulting from such circumstances.

Applicable Incoterms are displayed during checkout and may include CIF, DAP, or DDP. Responsibilities for duties, taxes, customs clearance, and logistics obligations shall be determined in accordance with the selected Incoterm.

11. Buyer Responsibilities

Buyers are responsible for thoroughly reviewing all quotations before submitting payment, verifying product specifications prior to order confirmation, and providing accurate shipping and contact information. Buyers must further ensure compliance with all import regulations applicable in their destination country and obtain any required licenses, permits, or governmental approvals. Costita shall not be responsible for losses arising from inaccurate or incomplete information provided by buyers.

12. Inspection and Acceptance

Buyers are expected to inspect all products immediately upon receipt. Any claims relating to damage, shortages, incorrect products, or material discrepancies must be reported promptly with supporting evidence. Failure to report issues within the claim period specified in the Return & Refund Policy may result in the rejection of the claim.

13. Quantity Tolerance

For manufacturing and bulk production orders, a quantity variance of up to ±5% shall be considered commercially acceptable unless otherwise expressly agreed in writing. Such a variance shall not constitute a breach of contract between the parties.

14. Product Variations

Minor variations in color, texture, finish, packaging, dimensions, or weight that do not materially affect a product's functionality, intended use, or commercial value shall not be considered defects. These variations are inherent to the nature of manufacturing and bulk production processes.

15. Intellectual Property

All content on Costita.com — including but not limited to logos, trademarks, product presentations, graphics, website design, text, and software — is owned by or licensed to Costita and is protected by applicable intellectual property laws. Users may not copy, reproduce, distribute, modify, or otherwise exploit any such content without prior written permission from Costita.

16. Prohibited Activities

Users of the Costita platform are strictly prohibited from violating applicable laws, submitting false or misleading information, interfering with website functionality, attempting unauthorized access to systems or accounts, engaging in fraudulent activities, or misusing quotations or confidential commercial information. Costita reserves the right to suspend or permanently terminate the accounts of any users found to be engaged in prohibited activities.

17. Limitation of Liability

To the maximum extent permitted by applicable law, Costita shall not be liable for any indirect, consequential, special, or incidental damages, including loss of profits, loss of business opportunities, or loss of goodwill. In all circumstances, Costita's total liability arising from any specific transaction shall not exceed the amount paid by the buyer for the particular order giving rise to the claim.

18. Force Majeure

Costita shall not be liable for any delays, failures, or inability to perform its obligations resulting from events beyond its reasonable control. Such events include, but are not limited to, natural disasters, floods, earthquakes, fires, epidemics or pandemics, war, terrorism, government restrictions, trade sanctions, labor strikes, customs delays, port congestion, transportation disruptions, carrier failures, and utility outages. Affected obligations shall be suspended for the duration of the force majeure event.

19. Indemnification

Users agree to indemnify, defend, and hold harmless Costita, its directors, officers, employees, affiliates, and partners from and against any claims, losses, liabilities, damages, costs, or expenses arising from their violation of these Terms, misuse of the platform, breach of applicable laws, or the provision of inaccurate or misleading information.

20 & 21. Governing Law & Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of India. Any dispute arising from or relating to these Terms, the website, products, services, or transactions shall be subject to the exclusive jurisdiction of the competent courts located in Hyderabad, Telangana, India.

22. Changes to These Terms

Costita reserves the right to modify these Terms at any time. Updated versions will be posted on this page with a revised effective date. Continued use of the website following any updates constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically to stay informed of any changes.
